Title: Underwriter – Legal and Corporate Due Diligence

Reports to: Director of Underwriting

FLSA Status: Full-time, Exempt

Position Summary:

The Underwriter – Corporate and Due Diligence’s primary functions are to lead the effort to ensure charter holders and schools have been vetted and are properly qualified to enter into funding with CSC. To make sure schools meet internal requirements and those of our investors, close work and coordination with members of the underwriting, finance, and client services staff and teams in all territories is required. This position will perform due diligence and underwriting duties. The position requires the ability to self-start, work without substantial supervision, and the ability to manage multiple priorities. The position requires the exercise of discretion and independent judgment with respect to matters of significance to the company and its clients.

Primary Duties and Responsibilities:

  • Perform, direct, and manage charter school due diligence during the funding process
  • Oversee the due diligence process, complete underwriting review, and ensure compliance with
  • underwriting standards
  • Work closely with all operational areas of CSC to ensure integrated knowledge of all charter
  • school issues
  • Perform lien searches and files financing statements including making determinations and
  • recommendations
  • Make recommendations to internal teams based on review and determinations on required
  • items and actions
  • Coordinate with internal and external teams and staff to meet funding deadlines
  • Prepare transaction documents (using templates)
  • Coordinate closings
  • Perform legal research on issues, legislation, and matters related to fundings
  • Perform post-closing follow-up as needed
  • Provide oversight for the work of the Legal Assistant working on the file including assigning work
  • and reviewing performance
  • Other duties and special projects as assigned from time to time

General Requirements:

  • Possess strong interpersonal skills with demonstrated experience in due diligence, relationship

Education and Experience:

  • Paralegal certificate or comparable legal experience
  • Bachelor’s Degree
  • 3+ years of UCC and corporate governance expertise
  • Large law firm experience and paralegal experience strongly preferred
  • Non-profit or charter school exposure is a plus
